Two revision roundsFor fixed-price projects, within the brief
These are the standard terms for booking RP Motion. Your written quote sets out the details of your project. Please read both before accepting a booking.
1. Who you’re working with
RP Motion is the trading name of RICHIE PHILLIPS LTD, a company registered in England and Wales with company number 11837797. Our VAT registration number is GB 476 9673 23. Our registered office is Workspace 17 Phoenix Square, 4 Midland Street, Leicester, LE1 1TG, United Kingdom. You can contact Richie at richie@rpmotion.com or through the contact details on this website.
These terms cover our motion graphics, animation, VFX and freelance creative services. “We”, “us” and “our” mean RICHIE PHILLIPS LTD; “you” means the client named in the quote. A consumer is an individual buying mainly for purposes outside their trade, business, craft or profession. The additional consumer protections below apply whenever you qualify as a consumer.
2. Agreeing your project
Before booking, we’ll agree the brief, deliverables, price or charging basis, planned dates, revision allowance and intended use in a written quote or booking confirmation. A contract is formed when you accept the quote and these terms in writing and we confirm the booking. We’ll send you a copy of the agreed terms and booking details that you can keep.
The quote and these terms form our agreement. A specifically agreed written change takes priority over the corresponding standard term, but cannot remove your statutory rights. We won’t apply later website changes to an existing booking without your agreement. Any agency or client contract must be expressly agreed by us; it does not apply simply because it appears on a purchase order.
3. Prices, deposits and payment
Prices, currency, expenses and any applicable VAT will be made clear before you book. Consumer quotes show the total price including applicable taxes. We won’t incur additional chargeable costs without your approval.
Depending on the size of the project, we may ask for a deposit of 25% of the agreed project price. If a deposit is required, the quote will say so and explain when it is due and whether work starts after it has cleared. The deposit is part-payment, not an additional fee, and is not automatically non-refundable.
Unless we agree different payment dates in writing before booking, invoices are payable within 28 calendar days of the invoice date. The quote will explain any staged billing. For time-based freelance bookings, we’ll agree the rate, booked time and any overtime arrangements in advance. Additional hours require your approval.
If you think an invoice is wrong, contact us promptly so we can resolve it; please pay any undisputed amount on time. For overdue business debts, we may claim statutory interest and recovery costs where the Late Payment of Commercial Debts legislation permits. These business late-payment charges do not apply to consumers. We may pause affected work after written notice and a reasonable opportunity to resolve overdue payment, with any resulting schedule change discussed with you.
4. Feedback and revisions
A fixed-price project includes two rounds of revisions within the agreed brief unless the quote expressly sets a different allowance. A round means one consolidated set of feedback and the changes needed to address it. Please nominate one person to gather feedback and approve each stage.
A new concept, changed script, extra deliverable or change to an already approved stage may alter the price and schedule. We’ll explain the effect and get your written agreement before doing that additional work. For time-based bookings, revision work uses the agreed booked time unless your quote includes a separate fixed revision allowance.
Correcting our mistakes or work that does not meet the agreed specification is not an extra paid revision. Approval does not remove your rights if work is faulty or does not meet our agreement.
5. Materials, approvals and delivery
Please supply the agreed assets, accurate information and feedback on time, and make sure you have the rights and permissions needed for material you provide. Tell us about any confidentiality restrictions, brand requirements, accessibility needs or technical specifications before we quote.
We’ll carry out the work with reasonable care and skill. We’ll agree delivery formats and dates in the quote and tell you promptly if anything puts them at risk. If late materials, changed instructions or circumstances beyond either party’s reasonable control affect progress, we’ll discuss a revised plan rather than silently change the deadline. If a deadline is essential, tell us before booking so we can expressly agree it.
Please check proofs for factual accuracy, names, spelling and content approvals. We remain responsible for our own errors. Keep a copy of delivered files; indefinite storage, future software compatibility and ongoing updates are not included unless agreed.
6. Cancelling or postponing a booking
If you need to cancel or postpone, email us as soon as possible. The consumer cancellation rights in section 7 take priority over this section whenever they apply.
Outside a statutory cancellation right, if you cancel for reasons unrelated to our breach, you pay only a reasonable amount for work completed up to cancellation and third-party costs that you approved and that we cannot reasonably recover. Work is valued using the agreed rates or a fair proportion of the fixed project price. We’ll provide an itemised explanation, avoid double charging and take reasonable steps to reduce avoidable costs. We do not automatically charge the full remaining project fee or a percentage penalty.
Any deposit or other advance payment is credited against that amount. We’ll refund any excess within 14 days of agreeing the cancellation account. If you postpone, we’ll agree new dates subject to availability and discuss any approved costs already committed; any change in price needs your agreement.
We may end a booking for a serious breach if you do not put it right after written notice and a reasonable opportunity to do so, where it can be remedied. If we cannot complete the work for reasons that are not your fault, we’ll discuss a suitable resolution and refund payments for work not supplied. Nothing here limits remedies you have because of our breach or your statutory rights.
7. Additional rights for consumers
For a service booked online, by email, by phone or away from our business premises, you normally have 14 days after the day the contract is made to cancel without giving a reason. Tell us by a clear email or letter before that period ends. You can use the cancellation form below, but you do not have to. We’ll provide the legally required information and confirmation; any legal extension to the cancellation period still applies.
We will not start services during that period unless you expressly ask us to. If you then cancel, you pay only a proportionate amount for services actually provided up to cancellation, and only where we have met the legal information and request requirements. You lose the service cancellation right only after the service has been fully performed, with your prior express request and acknowledgement that full performance ends that right.
If a booking separately supplies digital content, we will not begin supplying it during the cancellation period unless you expressly consent and acknowledge that this ends the cancellation right for that digital content, and we provide the required confirmation. Accepting these terms alone is not an early-start request or digital-content consent.
For a valid statutory cancellation, we’ll refund money due within 14 days of being told, using the original payment method unless you agree otherwise, without a refund fee. Any lawful deduction for services requested and supplied is explained above. We do not treat all bespoke animation services as exempt simply because they are made to order.
Your rights to services performed with reasonable care and skill and to digital content of satisfactory quality, fit for an agreed purpose and as described are unaffected. Depending on the circumstances, remedies can include repeat performance, repair or replacement, a price reduction or refund. Contact us if something is wrong.
8. Copyright, usage and source files
You keep ownership of material you supply and give us permission to use it as needed to complete your project. We retain copyright in original work we create unless we expressly agree a transfer in a signed written agreement.
Once the agreed fees for the relevant deliverables have been paid, you receive a non-exclusive, worldwide, ongoing licence to use the final approved deliverables for the purposes agreed in the quote. If the quote does not specify a purpose, this covers publishing and promoting your own business, organisation or personal project as described in the brief. An agency booking may include use by the end client identified in the quote. You may let suppliers reproduce the work on your behalf for those purposes. A broader licence, resale, exclusivity or copyright transfer must be expressly agreed.
Editable project files, working files, unused concepts, templates and production tools are not included unless the quote says they are. Third-party music, fonts, footage, plugins and other licensed assets remain subject to their own licences. We’ll identify relevant restrictions before you agree to them and explain any licences you need to obtain. Preview files are for review only unless we agree otherwise. These arrangements do not limit your statutory rights.
9. Confidentiality and showing the work
We’ll keep non-public project information confidential and use it only to deliver and administer the work, except where disclosure is required by law. Any agreed NDA or embargo will be respected. If specialist collaborators need access, we’ll use appropriate confidentiality arrangements and remain responsible for the services we supply.
We’ll ask for your written permission before showing your project, name, logo or testimonial in our portfolio or promotion. Publication of a project by you does not by itself give us that permission. Please tell us about end-client approvals that are needed. We will not upload confidential client material to generative AI services without your prior written agreement.
10. Responsibility and resolving problems
Please raise concerns with richie@rpmotion.com, including the project name and what needs resolving. We’ll investigate and discuss a practical remedy. We do not promise a particular sales, audience, search-ranking or other commercial result unless we expressly agree a specific commitment in writing.
We are responsible for loss caused by our breach where that loss was reasonably foreseeable when the contract was agreed. You are not responsible for our mistakes simply because you approved a stage. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability or consumer right that cannot lawfully be excluded or limited.
If we cannot resolve a consumer complaint directly, we’ll provide information about a suitable approved alternative dispute resolution provider and state whether we are willing or required to use it. This does not prevent either party from using the courts.
11. Which law applies
These terms and our agreement are governed by the law of England and Wales. Business clients and we agree to the exclusive jurisdiction of the courts of England and Wales. Consumers may bring proceedings in the courts where they live where the law gives them that right, including Scotland and Northern Ireland. Choosing English and Welsh law does not remove mandatory consumer protections that apply in your country of residence.
